Complli Terms of Service

1. About Complli

2. Definitions

• "Account" means a Complli user account or organisation environment created to access the Services.
• "Authorised User" means an individual authorised by a Customer to access and use the Services under the Customer's Account.
• "Customer" means the entity or individual that registers for or subscribes to the Services.
• "Customer Data" means all electronic data, documents, files, records, information or material submitted by or on behalf of Customer.
• "Services" means the cloud-based document management, compliance tracking, and organisation tools provided by Complli.

3. Eligibility and Authority

By using Complli, you represent and warrant that you have full legal authority to enter into a binding agreement.

4. Account Registration and Security

You are responsible for maintaining the security of your account credentials and all actions taken under your account.

5. Organisations and User Roles

Organisations manage access rights and permissions for Authorised Users added to their workspace.

6. License and Right to Access

Complli grants a non-exclusive, non-transferable, revocable license to access and use the Platform during your subscription term.

7. Acceptable Use Policy

You agree not to:

• violate applicable laws or regulations;
• reverse engineer, decompile, or copy platform source code;
• disrupt system security, server integrity, or platform availability; or
• upload malicious software or illegal content.

8. Subscriptions, Pricing and Billing

Paid subscriptions are billed in advance on a recurring monthly or annual basis unless cancelled before renewal.

9. Free Trials and Promotional Tiers

Free trials grant limited-time access to paid capabilities for evaluation purposes.

10. Customer Data and Ownership

Customers retain full ownership and rights over all Customer Data uploaded or processed within Complli.

11. Data Protection and GDPR

Data processing is conducted in strict accordance with our DPA and applicable data protection legislation (including EU GDPR).

12. Confidentiality

Both parties agree to safeguard confidential information disclosed during the subscription term.

13. Intellectual Property

Complli retains all intellectual property rights in the software, UI designs, code, and documentation.

14. Feedback

Any feedback or feature requests submitted to Complli may be incorporated without restriction or obligation.

15. Security

We implement industry-standard technical and organizational security controls to protect platform data.

16. Service Availability and Modifications

Services are provided on an "as available" basis and may be updated or enhanced over time.

17. Support and Service Levels

Technical support is provided via email at support@complli.com.

18. Term and Termination

Either party may terminate the account or subscription according to plan cancellation procedures or for material breach.

19. Effect of Termination

Upon termination, access rights end and customers have a 30-day window to export Customer Data.

20. Warranties and Disclaimers

Services are provided "as is" without implied warranties of fitness for a specific purpose or uninterrupted availability.

21. Compliance Disclaimer

Complli provides management software tools. Customers remain solely responsible for fulfilling their own statutory and regulatory requirements.

22. Limitation of Liability

To the maximum extent permitted by law, liability is limited to total fees paid by customer in the preceding 12 months.

23. Indemnification

Customer agrees to indemnify Complli against third-party claims arising from uploaded Customer Data or breach of acceptable use policies.

24. Third-Party Integrations

Integrations with external services are subject to third-party terms and service conditions.

25. Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of Ireland, with exclusive jurisdiction in Irish courts.

27. Modifications to Terms

Complli reserves the right to update these Terms with advance notice on the Platform or via email.

28. Miscellaneous

These Terms constitute the entire agreement between the parties regarding the Platform.
